Master Services Agreement (MSA)
Framework terms for an approved collaboration or service engagement with SWR Entertainment.

1. Purpose and scope
This MSA provides a general framework for a separate statement of work between Tyler Bradham, under SWR Entertainment, as owner and developer of the Southeast Airlines website, Discord bot, and EFB application and an approved partner. It does not itself require either party to purchase or provide a service. Each engagement must be described in a written statement of work accepted by both parties.
2. Statements of work
A statement of work should identify the deliverables, schedule, responsibilities, fees if any, acceptance criteria, and named contacts. If an SOW conflicts with this MSA, the SOW controls only for the conflicting project-specific term.
3. Intellectual property
Each party retains ownership of material it created before an engagement. Ownership or licensing of new deliverables must be stated in the applicable SOW. Neither party may use the other's brands or confidential material beyond the agreed purpose.
4. Confidentiality and security
Each party will use reasonable care with non-public information received from the other and will limit access to people who need it for the engagement. Do not provide passwords, payment credentials, or unnecessary personal data through an SOW or community channel.
5. Termination
Either party may end an SOW according to its terms. We may suspend work immediately for security, legal, or material breach concerns. Accrued obligations and provisions intended to survive termination remain in effect.
6. No implied commitment
This page is a template framework for potential collaborations, not an offer, quote, employment agreement, or promise that SWR Entertainment will accept a project. A signed or otherwise expressly accepted SOW is required before work begins.
